- Mergers and acquisitions – acting for buyers and sellers on all aspects of share and asset transactions, including: drafting and negotiating all main transaction documentation (including NDAs, heads of terms, share purchase agreements, asset purchase agreements, disclosure letters); managing of due diligence processes on buy and sell side, including writing of due diligence reports.
- Investments and Joint Ventures – acting for companies or investors on equity and debt investments, including: drafting and negotiating all key investment documentation (investment agreements, joint venture agreements, shareholder agreements, convertible loan notes, option arrangements etc.).
- Reorganisations – corporate restructuring, including winding-up and striking-off companies, reductions of capital and share buybacks.
- Company secretarial – all aspects of setting up and running companies, including: incorporating companies; payment of dividends; drafting and amending articles of association; preparation of all board documentation and filings at Companies House; generating and maintaining statutory books; drafting minutes and resolutions for public and private companies.
